Effective Date: Feb 14, 2024
This End User License Agreement (“Agreement”) is a legal contract between you, either an individual or a single entity (“You” or “Your”), and 8it Technology Inc., operating SpoonFed Data (“Spoonfed Data”, “we”, “us”, or “our”). This Agreement governs your use of our software, including all related documentation, updates, and upgrades that replace or supplement the software in any respect and are not distributed with a separate license (collectively, the “Software”).
By installing, copying, downloading, accessing, or otherwise using the Software, you agree to be bound by the terms of this Agreement. If you do not agree to the terms of this Agreement, do not install or use the Software.
Grant of License
SpoonFed Data grants you a non-exclusive, non-transferable, limited license to use the Software solely for your internal business purposes. This Agreement does not grant you any rights to sell, redistribute, or offer the Software as a service to third parties.
Use Restrictions
You may not modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information, software, products or services obtained from the Software, except as expressly permitted by this Agreement.
Intellectual Property Rights
All rights, title, and interest in and to the Software, including but not limited to any copyrights, patents, trade secrets, trademarks, and other intellectual property rights, are owned by Spoonfed Data or its suppliers. The Software is licensed, not sold.
Data Usage and Privacy
Your use of the Software may involve the processing and analysis of data. SpoonFed Data’s use of such data is governed by our Privacy Policy, available at https://www.spoonfeddata.com/privacy-policy. By accepting this Agreement, you also agree to the terms of the Privacy Policy.
Standard of Care
SpoonFed Data will use commercially reasonable efforts to secure and protect User Data from unauthorized access, use, or disclosure. Users are responsible for maintaining the confidentiality of their account credentials and for taking all reasonable steps to prevent unauthorized access to their account.
Updates and Maintenance
SpoonFed Data may provide updates and maintenance for the Software at its discretion. However, we are under no obligation to provide such updates or maintenance. You agree that Spoonfed Data may automatically install updates without providing any additional notice or receiving any additional consent.
Termination
This Agreement is effective until terminated by either you or SpoonFed Data. Your rights under this Agreement will terminate automatically without notice from SpoonFed Data if you fail to comply with any term(s) of this Agreement. Upon termination, you shall cease all use of the Software and destroy all copies, full or partial, of the Software.
Disclaimer of Warranties
The Software is provided “as is,” with all faults and without warranty of any kind. SpoonFed Data hereby disclaims all warranties and conditions with regard to the Software, whether express, implied, or statutory.
Limitation of Liability
In no event shall SpoonFed Data be liable for any special, incidental, indirect, or consequential damages whatsoever arising out of or related to your use or inability to use the Software. To the maximum extent permitted by applicable law, SpoonFed Data shall not be liable for any damages arising from or related to unauthorized access to, use, or disclosure of User Data. In the event of a data breach, SpoonFed Data will use commercially reasonable efforts to notify Users promptly and take appropriate steps to mitigate any harm.
General
This Agreement constitutes the entire agreement between you and SpoonFed Data concerning the Software and supersedes all prior or contemporaneous understandings and agreements, whether written or oral, regarding such subject matter.
Governing Law
This Agreement shall be governed by the laws of the jurisdiction in which SpoonFed Data is located, without regard to its conflict of laws principles.
